Standard Terms
I. General
The B2B-Trade.net trading platform is the property of B2B-Trade
Ltd. and provides users with a closed platform for
business-to-business trading. Any contractual agreements and
transactions entered into on the basis of bids and offers on
this platform shall be solely between the users involved.
B2B-Trade.net shall not be party to any such contractual
agreement or transaction; the platform serves exclusively to
bring together buyers and sellers.
II. Terms of Use
Use of B2B-Trade.net is restricted to users who have
successfully registered and whose user accounts have been
activated. To register, users must complete the online
registration form and submit it to B2B-Trade Ltd..
Because the platform may be temporarily unavailable from time to
time due to maintenance, users and pending users have no
entitlement to the use or availability of the B2B-Trade.net
platform or to compensation from B2B-Trade Ltd. for its
unavailability.
Registration is limited to business users. A business user is an
individual or legal entity who satisfies the definition of the
term Kaufmann in the German Commercial Code. Individuals must be
of legal age. Non-business users who register for B2B-Trade.net
accept these Standard Terms.
III. Registration
Fully and correctly completing the online registration form and
submitting it to B2B-Trade Ltd. indicates acceptance of these
Standard Terms and assent to enter into a licence agreement with
B2B-Trade Ltd.. This licence agreement runs for 12 months and
grants permission to use B2B-Trade.net subject to the above
Terms of Use. It does not automatically renew on expiry.
The user or pending user affirms that all information provided
is true and complete and that the above Terms of Use are
complied with. If the user or pending user is not an individual,
its representative must supply B2B-Trade Ltd. on request with
documentary evidence, in a form specified by B2B-Trade Ltd., of
his or her power of attorney or authority to represent the user
or pending user.
The user will receive e-mail confirmation from B2B-Trade Ltd.
indicating acceptance of registration and acceptance for trading
on the B2B-Trade.net platform, acceptance and entry into force
of the licence agreement, and activation of the user account
(user name and password). The user undertakes to protect the
user name and password from disclosure or use by others and to
notify B2B-Trade Ltd. promptly if the user becomes aware of or
suspects any misuse.
There is no entitlement to a licence agreement. B2B-Trade Ltd.
reserve the right to refuse any registration and to refuse the
use of B2B-Trade.net without providing notification of the
refusal and without giving reasons.
The user undertakes to notify B2B-Trade Ltd. promptly of any
change in data submitted on registration.
IV. Right of Revocation
Pursuant to the German Telesales Act (Fernabsatzgesetz):
Successful registration for B2B-Trade.net results in a
contractual agreement between the user and B2B-Trade Ltd.. The
user can revoke this contractual agreement within two weeks of
submitting the online registration form. Users forfeit this
right of revocation if they actively use B2B-Trade.net within
the two week period by actively signing in with a user name and
password provided by B2B-Trade Ltd..
V. Use of B2B-Trade.net
The user undertakes to use the B2B-Trade.net platform solely for
entering into transactions that are legal under German law.
B2B-Trade Ltd. are responsible neither for content placed on the
B2B-Trade.net trading platform nor for content on third-party
websites linked-to from B2B-Trade.net. B2B-Trade Ltd. do not
tolerate 'spamming' (flooding with data or other irrational use)
of the B2B-Trade.net platform. B2B-Trade Ltd. reserve the right
to expel from the platform, without giving reasons, any user who
obstructs or disturbs the regular course of trading on
B2B-Trade.net. Expelled users will not in any circumstances be
refunded their annual membership fee.
B2B-Trade Ltd. are authorized to use all user data for internal
purposes including for statistics within the platform.
VI. Concluding Terms
These Standard Terms are governed by and shall be construed in
accordance with German law.
Treaties or contracts at variance with German law do not apply.
The place of jurisdiction for all contractual agreements entered
into under these Standard Terms is Bonn.
B2B-Trade Ltd. reserve the right to change these Standard Terms
without consulting users. The invalidity of any provision of
these Standard Terms shall not affect the remaining provisions.
B2B-Trade Ltd. shall replace any invalid provision with a valid
provision.
